These Terms and Conditions ("Terms") govern your use of DueMate ("we", "us", or "DueMate"), a SaaS application operated by Lakhit Almeida as sole proprietor of DueMate (Udyam Reg. UDYAM-GA-02-0041088), accessible at https://duemateapp.com. By creating an account or using DueMate, you agree to these Terms.
1. Description of Service
DueMate is a software-as-a-service platform that helps small service businesses store customer information, compute next-service due dates, and send reminders to their customers via the Meta WhatsApp Business Cloud API. Features and integrations available at any given time are described in the application and on the Features and Pricing pages.
2. Account Registration
To use DueMate you must sign in with a valid Google account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
3. User Responsibilities
- You are responsible for the accuracy of the customer information you enter.
- You are responsible for obtaining appropriate consent from your customers before sending them WhatsApp reminders.
- You will comply with all applicable laws (including data protection, consumer protection, and telecom regulations) when using DueMate.
- You will not use DueMate for unsolicited marketing (spam) or any unlawful purpose.
4. Acceptable Use
You may not (a) attempt to gain unauthorised access to any part of the service or another user's account; (b) reverse-engineer, decompile, or copy the application; (c) upload malicious content; (d) use the service to harass, defraud, or send prohibited content; or (e) exceed reasonable API rate limits set by us or by third-party providers such as Meta.
5. Subscription and Payment
Some features of DueMate are offered under a paid subscription. Prices and inclusions will be published on the Pricing page and may change from time to time; changes will take effect at the start of your next billing cycle. Payments are processed by our payment-gateway partner. Failure to complete payment may result in suspension of paid features. Applicable taxes will be added at checkout where required.
6. Service Availability
We work to keep DueMate available and reliable, but we do not guarantee uninterrupted or error-free service. Scheduled maintenance, force majeure events, and third-party outages (including Meta WhatsApp API downtime) may affect availability.
7. Third-Party Services
DueMate relies on third-party services including Google (authentication), Meta (WhatsApp messaging), cloud hosting, and payment gateways. Your use of those services is also subject to their respective terms and privacy policies. We are not responsible for the acts, omissions, or downtime of third-party providers.
8. Intellectual Property
DueMate, including its brand, logo, UI, source code, and content, is owned by DueMate / Lakhit Almeida and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use DueMate for its intended purpose.
9. User-Generated / Customer Data
You retain ownership of the customer data you enter into DueMate. By using the service, you grant us a limited licence to store and process that data solely to provide the service to you.
10. Suspension and Termination
We may suspend or terminate your account if you violate these Terms, misuse the service, or if required by law. You may cancel your subscription at any time as described in the Refund & Cancellation Policy.
11. Disclaimer
DueMate is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that every WhatsApp message will be delivered, that reminders will always arrive at a particular time, or that the service will be error-free.
12. Limitation of Liability
To the maximum extent permitted by law, DueMate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of your use of the service. Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the amount you have paid to DueMate in the twelve (12) months immediately preceding the claim.
13. Changes to Terms
We may modify these Terms from time to time. The effective date at the top of this page will reflect the latest revision. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or your use of DueMate shall be subject to the exclusive jurisdiction of the competent courts in India. The parties agree to first attempt to resolve any dispute through good-faith discussions before initiating legal proceedings.
